As the shareholders with its affiliated persons, now collectively hold more than seventy-five percent (75%) of the total issued common shares of Premium Nexus JSC (“the Company”), the Board of Directors has resolved, in accordance with Articles 53 and 54 of the Company Law of Mongolia, to exercise the right to require the repurchase of shares held by the remaining common shareholders.
Following this resolution, Premium Commerce LLC has been authorized to purchase the shares, and the Company is organizing the share repurchase process.
Share buyback price (per share): MNT 350 (three hundred fifty tugriks)
Date the mandatory buyback right was triggered: 7 November 2025
Application submission period: 10 November 2025 – 23 December 2025
Payment period: 30 December 2025 – 9 January 2026

Once the request is submitted, shareholders must not alter the number of shares indicated in their request. If the number of shares in the shareholder’s account differs from the number specified in the request at the time of payment, the request may not be fulfilled.
